Fang Holdings Derivative Settlement

If you are a record owner of Fang Class A or Class B ordinary shares and/or Fang ADS as of October 25, 2025, you may be eligible to receive a distribution payment from this Settlement.

Please note that there is no proof of claim form for shareholders to submit in connection with the Settlement, and Fang shareholders and ADS holders are not required to take any action in response to the Notice in order to receive a pro rata share of the Net Monetary Distribution.

Current Status

The Notice to Shareholders was sent on November 14, 2025. The Court will hold a Settlement Hearing on February 5, 2026, to consider whether to approve the Settlement.
